Description
This course introduces the student to the role and responsibilities of a Legal Administrative Assistant working in the field of corporate law. Through an extensive overview of the various forms of business organizations, this course covers corporate structure including Sole Proprietorship, Partnership (General and Limited), and Corporations (Private: Non-Reporting, and Public: Reporting) and Corporate Registry. Students acquire a basic knowledge of the Business Corporations Act, learn specialized terminology, and apply practical experience in document preparation, necessary for maintaining records of a British Columbia Corporation. The course covers incorporation procedures, post corporate procedures and annual maintenance also.
This course is part of the Legal Administrative Assistant (Online)Program.

Course Learning Outcomes
Upon successful completion of this course, students will be able to:
- Identify different forms of business organizations and outline the advantages and disadvantages of each
- Describe the different choices of jurisdiction when incorporating companies that operate in B.C.
- Demonstrate a basic working knowledge of the Corporate Registry
- Prepare incorporation documents and post incorporation documents for a non-reporting B.C. corporation
- Outline the rights of shareholders and the role of the board of directors
- Distinguish between different types of resolutions
- Distinguish between shares with and without par value (kind) and common and preferred shares (class)
- Set up and maintain a corporate Records Book
- Prepare annual reports for filing with the Registrar of Companies and annual consent resolutions
- Prepare the necessary documentation to change the director and/or officer of a corporation and allot or transfer shares
- Understand the purpose of filing annual reports with the Registrar of Companies and be able to prepare related documentation

- Practice confidentiality and demonstrate awareness of ethical responsibilities in completion of all work
- Use legal reference materials and other sources of information
- Define and correctly spell legal terms
